Item 8.01 Other Events
On September 14, 2007, the United States District Court for the Southern District of Florida issued an order granting the Companys motion to dismiss the second amended purported class action complaint in the matter captioned Lynn Finkelstein & Company, Inc., on behalf of certain of its clients as attorney-in-fact and all others similarly situated, Plaintiff, vs. Jerome E. Ball, Douglas W. Sabra, Michael Schiffman, and Forward Industries, Inc., Defendants (Case No. 06-21922-CIV). The Courts order specifies that the complaint is dismissed with prejudice for failure to satisfy the pleading requirements of the Private Securities Litigation Reform Act of 1995.
The plaintiff may petition the District Court for reconsideration of the order of dismissal and/or appeal to the United States Court of Appeals for the 11th Circuit.
The Company and its directors are pleased by the Courts decision and believe that the decision confirms their belief that the complaint, as amended, is without merit and the Companys filings under the Exchange Act were proper and complete.
