Item 1.01. Entry into a Material Definitive Agreement.
On November 14, 2005, Synopsys adopted a deferred compensation plan for the benefit of certain employees, including executive officers, with respect to salary and bonus deferrals for calendar years ending on and after December 31, 2005. The plan is attached as Exhibit 10.18.
