Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(e) On May 29, 2008, the Compensation Committee of the Board of Directors of China BAK Battery, Inc. (the “Company”) recommended and approved the grant of an option to purchase an aggregate of 1,080,000 shares of the Company’s common stock, par value $0.001, to its Chief Executive Officer, Mr. Xiangqian Li, under the China BAK Battery, Inc. Stock Option Plan (the “Plan”). The exercise price, vesting schedule and term of the option are described below. Issuance of the option to Mr. Li is subject to shareholder approval of the amendment of the Plan to increase the number of shares available for issuance thereunder.

The option exercise price is $4.18, which is the average closing price of the five trading days preceding March 29, 2008, the date the grant was approved. The option is subject to a three-year vesting schedule, with the first 1/12 vesting on the last day of the full fiscal quarter following the date of grant (September 30, 2008), and the remaining 11/12 vesting in eleven equal installments on the last day of each following fiscal quarter. The option will expire on May 28, 2013.
