(1) Waiver of receipt of unissued portion of grant on July 1, 2010 of restricted shares under China BAK Battery, Inc. Compensation Plan for Non-Employee Directors (the "Plan") in consideration of an additional quarterly payment by China BAK Battery, Inc. of $6,250 on or about January 6, 2011 pursuant to the increase, effective January 1, 2011, of the reporting person's annual retainer fee under the Plan by $25,000 in lieu of the reporting person's receipt of restricted shares under the Plan.
