Explanatory Note:  The purpose of this Amendment No. 1 to Current Report on Form 8-K/A is to amend the Current Report on Form 8-K filed on August 7, 2008 (the Form 8-K) solely to correct a typographical error contained in Exhibit 99.1 to the Form 8-K.  As amended, long-term debt & long-term liabilities at December 31, 2007 in the Condensed Balance Sheet has been corrected to read "16,089".

On August 6, 2008, InterDigital, Inc. issued a press release announcing its results of operations and financial condition for the fiscal quarter ended June 30, 2008.  A copy of the press release is attached hereto as Exhibit 99.1.
