At the annual general meeting of the shareholders of Nova Measuring Instruments Ltd. (“Nova”) held on June 30, 2016, the shareholders of Nova approved the following proposals, which are described in more detail in the proxy statement of Nova that was furnished to the Securities and Exchange Commission with a Report on Form 6-K on May 26, 2016:

Re-election of each of Messrs. Michael Brunstein, Alon Dumanis, Avi Cohen and Raanan Cohen as a director of the Company to hold office until the close of the next annual general meeting;

Approval of amendments to the employment terms of Mr. Eitan Oppenhaim, the President and Chief Executive Officer of the Company; and

3.

Approval and ratification of the re-appointment of Kost Forer Gabbay & Kasierer, a member of Ernest & Young, as the independent auditors of the Company for the period ending at the close of the next annual general meeting.

Proposal 3 (approval of the compensation policy for the Company’s directors and officers) was not approved by the shareholders.
