(1) | On June 30, 2006, Charles R. Henry was appointed as a director of Gaming Partners International Corporation (f/k/a Paul-Son Gaming Corporation, the "Company"). On the date of his appointment, the Company granted Mr. Henry options to purchase 6,000 shares of the Company's $0.01 par value common stock pursuant to the Company's 1994 Directors' Stock Option Plan (the "Plan"), at an exercise price of $24.05 per share. The grant was exempt under Rule 16b-3. The options vest in equal installments over a three-year period with the first one-third installment vesting on June 30, 2007. |
