Item 5.03
Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 16th the Board of Trustees of Whitestone REIT approved a restatement of the third amendment to the Company’s Bylaws.  The restatement of the third amendment to Article III, Section 2 of the Company’s Bylaws further clarifies the requirements for an individual to qualify for nomination or election as a Trustee.

A copy of the Company’s Restatement of Third Amendment to the Bylaws is furnished herewith as Exhibit 3(i).1 to the Current Report on Form 8-K and is incorporated herein by reference.
