Item 8.01
Other Events.

On December 19, 2008 Whitestone REIT issued a press release announcing that its Board of Trustees had approved a dividend of $0.1125 per common share for the fourth quarter of 2008.
 
The dividend is payable in three monthly payments of $.0375 per share.  Dividend payments will be made on or about the first day of January, February, and March, 2009.
 
A copy of the press release is furnished herewith as Exhibit 99.1 to the Current Report on Form 8-K and is incorporated herein by reference.
