Item 5.04 Temporary Suspension of Trading Under Registrant’s Employee Benefit Plans

 

Effective January 3, 2006, the IBERIABANK Retirement Savings Plan (the “Plan”) will be transferring recordkeeping and trustee services to The Principal Financial Group. The transfer will necessitate a blackout period for the participants in the Plan during which participants will be temporarily unable to direct or diversify investments in their individual accounts, rollover or transfer assets from this Plan to another plan, obtain in-service or hardship withdrawals, obtain Plan loans or obtain distributions from the Plan. The blackout period is expected to begin at 3:00 p.m., Central Time, on December 22, 2005 and is expected to end the week of January 16, 2006.

 

As required by Section 306 of the Sarbanes-Oxley Act of 2002 and Rule 104 of Regulation BTR (17 CFR §245) promulgated by the Securities and Exchange Commission (“SEC”), IBERIABANK Corporation has transmitted a notice of the blackout period to its directors and executive officers concurrently with the filing of this Current Report on Form 8-K with the SEC. The form of notice is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference into this Item 5.04.
