On July 26, 2006, AsiaInfo Holdings, Inc. (the “Company”) reported its results of operations for the quarter ended June 30, 2006. The Company’s earnings release for the quarter ended June 30, 2006 is furnished herewith as Exhibit 99.1.

The Company today announced the upcoming retirement of the Company’s Chief Financial Officer, Ms. Ying Han, and the approval of a CFO succession plan. The Company’s press release regarding the CFO Succession Plan is furnished herewith as Exhibit 99.1
