In connection with the resignation of James C. East from the Board of Directors of the Registrant, on January 21, 2008, the Board of Directors amended Section 3.1 of the Bylaws to decrease the number of authorized directors from twelve to eleven. A copy of the Bylaws, as amended, is attached as Exhibit 3.1 to this Current Report on Form 8-K.
