On March 24, 2008, IBERIABANK Corporation (the “Company”) filed a definitive proxy statement (the “Proxy Statement”) relating to the Company’s 2008 Annual Meeting of Shareholders to be held at the InterContinental New Orleans Hotel (LaSalle Ballroom – 3rd Floor), 444 St. Charles Avenue, New Orleans, Louisiana on April 29, 2008, at 4:00 p.m., Central Time. On April 9, 2008, the Company filed a Supplement to the Proxy Statement on Schedule 14A (the “Supplement”) to supplement and amend the Proxy Statement in order to add information regarding the proposal to adopt the IBERIABANK Corporation 2008 Stock Incentive Plan. A copy of the Supplement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
