Item 2.02 Results of Operations and Financial Condition.
On October 17, 2008, Prosperity Bancshares, Inc. publicly disseminated a press release announcing its financial results for the third quarter ending September 30, 2008. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
