Underwriting Agreement
On June 3, 2013, EMC Corporation (the Company) entered into an Underwriting Agreement (the Underwriting Agreement) with Citigroup Global Markets Inc., J.P. Morgan Securities LLC, and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as the representatives of the underwriters named therein (the Underwriters), with respect to the Companys issuance and sale of $2.5 billion aggregate principal amount of the Companys 1.875% Notes due 2018 (the 2018 Notes), $2.0 billion aggregate principal amount of the Companys 2.650% Notes due 2020 (the 2020 Notes) and $1.0 billion aggregate principal amount of the Companys 3.375% Notes due 2023 (the 2023 Notes and, together with the 2018 Notes and the 2020 Notes, the Notes). The Underwriting Agreement includes customary representations, warranties and covenants. Under the terms of the Underwriting Agreement, the Company also has agreed to indemnify the Underwriters against certain liabilities.
The estimated net proceeds from the offering of the Notes were approximately $5,458,286,000, after deducting underwriting discounts and commissions and estimated offering expenses payable by the Company. The Company intends to use the net proceeds of the offering to satisfy cash payment obligations at the maturity, or upon the conversion, of the Companys outstanding 1.75% convertible senior notes due 2013, which will mature on December 1, 2013, and for general corporate purposes, including stock repurchases, working capital needs and other business opportunities.

Indenture
The terms of the Notes are governed by an Indenture, dated as of June 6, 2012 (the Base Indenture), by and between the Company and Wells Fargo Bank, National Association (the Trustee), as supplemented by an Officers Certificate, dated as of June 6, 2013 (together with the Base Indenture, the Indenture).
The 2018 Notes mature on June 1, 2018 and bear interest at a rate of 1.875% per year. The 2020 Notes mature on June 1, 2020 and bear interest at a rate of 2.650% per year. The 2023 Notes mature on June 1, 2023 and bear interest at a rate of 3.375% per year. Interest on the Notes is payable on June 1 and December 1 of each year, beginning on December 1, 2013. Upon 30 days notice to holders of the Notes, the Company may redeem the Notes for cash in whole, at any time, or in part, from time to time, prior to maturity, at redemption prices that include accrued and unpaid interest and a make-whole premium, as specified in the Indenture. However, no make whole premium will be paid for redemptions of the 2023 Notes on or after March 1, 2023. The Indenture includes covenants limiting the Companys ability to create certain liens on its assets or consolidate, merge or sell all or substantially all of its assets, subject to a number of important exceptions as specified in the Indenture. The Indenture also contains customary event
of default provisions. The Notes are the Companys unsecured senior obligations and rank equally in right of payment with all of the Companys existing and future unsecured and unsubordinated indebtedness from time to time outstanding.
The Trustee also serves as the trustee under the indenture for the Companys 1.75% convertible senior notes due 2013.
The offering of the Notes was registered under the Securities Act of 1933, as amended, pursuant to the Companys shelf registration statement on Form S-3 which became automatically effective upon filing with the Securities and Exchange Commission on May 30, 2013 (File No. 333-188933).

In addition to the specific agreements and arrangements described above, certain of the Underwriters and their respective affiliates have provided and may in the future provide certain financial advisory, investment banking and commercial banking services in the ordinary course of business for the Company, its subsidiaries and certain of their respective affiliates, for which they have received or will receive customary fees and expenses in connection with the performance of such services.
