Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Agreements of Certain Officers.

On March 9, 2016, Michael E. Kahler notified the Company that he intends to retire from the Company, effective as of April 18, 2016. In connection with Mr. Kahler’s retirement, the Compensation Committee (the “Committee”) of the Board approved vesting upon retirement of all of Mr. Kahler’s outstanding long-term incentive awards. The Committee did not make any other material modifications to the terms and conditions of Mr. Kahler’s outstanding long-term incentive grants. Michael Garratt, currently Senior Vice President, President of Performance Products and Solutions, has been named to succeed Mr. Kahler as Senior Vice President, Chief Commercial Officer on April 18, 2016.
