Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 19, 2016, the Board of Directors (the “Board”) of Northern Trust Corporation (the “Corporation”) elected William L. Morrison, currently President of the Corporation, to serve as Vice-Chairman, effective October 1, 2016. On July 19, 2016, the Board also elected Frederick H. Waddell, currently Chairman and Chief Executive Officer of the Corporation, to serve as President, effective October 1, 2016, in addition to maintaining his current roles. Each of these officers will serve for the term provided in the Corporation’s By-laws.
