Item 8.01. Other Events.

On May 11, 2005, EnPro Industries, Inc. issued a press release announcing a plan to modernize the Garlock Sealing Technologies facility located in Palmyra, New York. The modernization is expected to begin in the second half of 2005 and is expected to be completed within five years. The anticipated cost of the plan is between $30 and $35 million. A copy of such press release is included as Exhibit 99.1 hereto.
