Item 2.05 Costs Associated with Exit or Disposal Activities.
On December 13, 2005, we notified affected employees that we intend to make the employment of approximately 75 employees of our professional services business in France redundant. The redundancies are caused primarily by the loss of work from a significant client of the professional services business in France. At this time, we estimate costs associated with these redundancies to be approximately $3.6 million, the charge for which will be taken in the fourth quarter of our fiscal 2005 pursuant to FAS 112 as this constitutes an ongoing benefit arrangement which is probable and estimable. Actual cash outlays will occur as the employees leave our employment, which is expected to occur throughout the next several months and conclude by September 2006.
