Item 8.01 Other Events.

We announced, effective March 2, 2006, that Hilton M. Nicholson has been named President of our Active Infrastructure Business Unit. Mr. Nicholson was the President of our IP Cable Business Unit until it was divested in 2004. Following a transition period, Michael K. Pratt, the former President of our Active Infrastructure Business Unit, will be leaving to pursue personal interests. It was also announced that, effective March 2, 2006, Richard B. Parran, Jr. was named President of our Professional Services Business Unit. Mr. Parran had been acting as interim leader of this business unit.
