ITEM 8.01 OTHER EVENTS.
On June 1, 2011, Old National Bancorps wholly owned trust subsidiary, American National Trust and Investment Management Company d/b/a Old National Trust Company (ONTC) announced that it completed its previously disclosed acquisition of the trust business of Integra Bank, National Association. At the closing, the trust business had approximately $327,546,193.39 assets under management.
Pursuant to an Agreement and Plan of Merger, dated April 11, 2011, by and between ONTC and Integra Bank, as amended on April 23, 2011 to include Integra Interim National Bank, Integra Interim National Bank was merged with and into ONTC, with ONTC as the surviving entity (the Merger). In connection with the Merger, ONTC paid Integra net merger consideration of approximately $1.3 million.
A copy of the Old National Bancorp press release dated June 1, 2011 announcing the completion of the Merger is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
