Surna Inc. (the “Company”) is unable to file its Annual Report on Form 10-K for the year ended December 31, 2015 (the “Form 10-K”) prior to the filing deadline because the Company and its auditor have not finalized the financial statements to be presented in the Form 10-K and additional time was needed to prepare the financial statements due to recent changes in the Company’s senior management. The Company anticipates that it will file the Form 10-K within the “grace” period provided by Securities Exchange Act Rule 12b-25.
