TYPE OF REPORTING PERSON IN This Amendment No. 2 to Schedule 13D ("Amendment No. 2") relates to the Schedule 13D originally filed on March 18, 1998 and as amended by Amendment No. 1 to Schedule 13D filed on May 2, 2003 ("Amendment No. 1")on behalf of Albert E. Whitehead, with regard to his beneficial ownership of shares of Common Stock, par value $.001 per share, of Empire Petroleum Corporation (formerly Americomm Resources Corporation), a Delaware corporation (the "Company"). The original Schedule 13D, as amended by the Amendment No. 1 and this Amendment No. 2, is referred to herein as the "Schedule 13D." The information set forth in the Schedule 13D with respect to this Item 1 is hereby amended and restated to read, in its entirety, as follows: The securities to which this Schedule 13D relate are shares of common stock, par value $.001 per share ("Common Stock"), of the Company. Whitehead, Chief Executive Officer and President, 8801 S. Yale, Suite 120, Tulsa, Oklahoma 74137-3575. Item 2 - Identity and Background. The information set forth in the Schedule 13D with respect to this Item 2 is hereby amended and restated to read, in its entirety, as follows: (a) This Schedule 13D is being filed by Albert E. Whitehead. Mr. Whitehead is the trustee of the Albert E. Whitehead Living Trust (the "AEW Trust"). As trustee, Mr. Whitehead is deemed the beneficial owner of the shares of Common Stock held by the AEW Trust. (b) The business address of Mr. Whitehead is 8801 S. Yale, Suite 120, Tulsa, Oklahoma 74137-3575. (c) Mr. Whitehead's principal occupation is Chairman of the Board, Chief Executive Officer and President of the Company, which is located at 8801 S. Yale, Suite 120, Tulsa, Oklahoma 74137-3575. (d) During the last five years, Mr. Whitehead has not been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors). (e) During the last five years, Mr. Whitehead has not been a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws, or finding any violation with respect to such laws. (f) Mr. Whitehead is a citizen of the United States. Item 3 - Source and Amount of Funds or Other Consideration. The information set forth in the Schedule 13D with respect to this Item 3 is hereby amended and restated, in its entirety, as follows: On August 2, 2006, the AEW Living Trust, of which Mr. Whitehead is the sole trustee, acquired 500,000 shares of Common Stock and 125,000 warrants exercisable for Common Stock in connection with the 2006 Empire Private Placement. Prior to the acquisitions described above, Mr. Whitehead beneficially owned 14,178,024 shares of Common Stock. The information set forth in the Schedule 13D with respect to this Item 4 is hereby amended and restated to read, in its entirety, as follows: The shares of Common Stock beneficially owned by Mr. Whitehead were acquired for investment purposes. Except as described below, Mr. Whitehead has not formulated any plans or proposals which relate to or would result in any of the following: (a) The acquisition by any person of additional securities of the Company, or the disposition of securities of the Company; (b) An extraordinary corporate transaction, such as a merger, reorganization or liquidation, involving the Company or any of its subsidiaries; (c) A sale or transfer of a material amount of assets of the Company or any of its subsidiaries; (d) Any change in the present Board of Directors or management of the Company, including any plans or proposals to change the number or term of Directors or to fill any existing vacancies on the Board; (e) Any material change in the present capitalization or dividend policy of the Company; (f) Any other material change in the Company's business or corporate structure; (g) Changes in the Company's charter, by-laws or instruments corresponding thereto or other actions which may impede the acquisition of control of the Company by any person; (h) Causing a class of securities of the Company to be delisted from a national securities exchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association; (i) A class of equity securities of the Company becoming eligible for termination of registration pursuant to Section 12 (g) (4) of the Securities Exchange Act of 1934, as amended; or (j) Any action similar to any of those enumerated above. Depending upon various factors, including, but no limited to, the Company's business, prospects and financial condition and other developments concerning the Company, opportunities for Mr. Whitehead to acquire or dispose of securities of the Company, and other business opportunities available to Mr. Whitehead, Mr. Whitehead may in the future take actions with respect to his holdings in the Company's securities as he deems appropriate in light of the circumstances and conditions existing from time to time. The information set forth in the Schedule 13D with respect to this Item 5 is hereby amended and restated to read, in its entirety, as follows: (a) and (b) Mr. Whitehead beneficially owns 14,803,024 shares of Common Stock, including 2,815,283 shares of Common Stock owned by the Lacy E. Whitehead Living Trust and 20,000 shares owned by his grandchildren for which he acts as custodian, in which he disclaims beneficial ownership. These shares constitute, in the aggregate, approximately 26.9% of the issued and outstanding shares of Common Stock as of the date hereof. Mr. Whitehead has sole power to vote or direct the vote of, and sole power to dispose or to direct the disposition of, 11,842,741 shares of Common Stock beneficially owned directly by him.
