Item 2.02 Results of Operations and Financial Condition
 
On January 14, 2014, Ultra Clean Holdings, Inc. (the “Company”) issued a press release announcing a revision to its previously issued revenue guidance for the fourth quarter of its fiscal 2013, as well as its anticipated gross profit margin range for the fourth quarter of its fiscal 2013.  A copy of the press release is included as an exhibit to and is incorporated by reference in this Current Report on Form 8-K.
