On February 8, 2010, Flowers Foods, Inc. issued a press release (i) announcing its financial
condition and results of operations as of and for the fourth quarter and fiscal year ended January
1, 2011; (ii) refining its guidance for fiscal 2011; and (iii) announcing the filing of a universal
