ITEM 7.01. REGULATION FD DISCLOSURE

Ashford Hospitality Trust, Inc. (the “Company”) issued a press release, dated December 17, 2007, announcing the restructuring of two joint ventures with Hilton Hotels, which resulted in the Company receiving 100% ownership in nine hotels and Hilton Hotels receiving 100% ownership in two hotels. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
