Item 1.01. Entry into a Material Definitive Agreement.
On January 31, 2006, Applica Incorporated and certain of its subsidiaries (“Applica”) entered
into the First Amendment to the Second Amended and Restated Credit Agreement (the “Amendment”).
Applica paid no fees to its bank group in connection with the Amendment.
