ITEM 5.03	– AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR

          On September 16, 2008, the shareholders of Servidyne, Inc. (the “Company”) adopted an amendment to Article V of the Company’s articles of incorporation to increase the number of authorized shares of the Company’s common stock, $1.00 par value, from 5,000,000 to 10,000,000. This amendment, as well as further amendments to the articles of incorporation to delete obsolete references to the Company’s initial registered office, initial registered agent, initial board of directors, and incorporator, became effective on September 22, 2008.

          The description of the amendments to the Company’s articles of incorporation is qualified in its entirety by the text of the amended and restated articles of incorporation, which is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
