ITEM 5.02		Departure of Director, Principal Officers; Election of Directors; Appointment of Principal Officers

     On May 9, 2008, John P. O’Brien, a member of the Board of Directors for Preformed Line Products Company (the “Company”) since 2004, resigned from the Company’s Board of Directors, effective immediately, citing time requirements. The Company is in compliance with Nasdaq’s independent directors rule because four of seven directors are independent under the Nasdaq standards.
