Explanatory Note
This Current Report on Form 8-K/A, Amendment No. 1, amends and supersedes the Current Report on
Form 8-K that was filed with the Securities and Exchange Commission by Michael Baker Corporation
on March 19, 2009. The sole change is that, due to an inadvertent clerical error,
Mr. Stuver was incorrectly identified as Michael Baker Corporations Chief Executive Officer, rather than
Acting Chief Financial Officer. No other changes to the Form 8-K have been made.
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of
Certain Officers; Compensatory Arrangements of Certain Officers.
Resignation
On March 17, 2009, the Board of Directors of Michael Baker Corporation (the Company)
accepted the resignation of Craig O. Stuver as Acting Chief Financial Officer of the Company, effective
April 1, 2009. The Company issued a press release reporting Mr. Stuvers resignation and a copy of
this press release is attached as Exhibit 99.1 to this Current Report on Form 8-K/A and is
incorporated into this Item 5.02 by reference.
Appointment
On March 17, 2009, the Board of Directors of the Company announced the appointment of Michael
J. Zugay, CPA, as Executive Vice President and Chief Financial Officer, effective April 1, 2009.
Mr. Zugay, 57, will succeed Craig O. Stuver. Most recently, Mr. Zugay was Senior Vice
President and Chief Financial Officer of iGate Corporation (iGate) where he was responsible for all of the
firms financial and administrative functions. Previously, he was Vice President of Mergers and
Acquisitions with iGate and completed 26 transactions that added more than $190 million in revenue
for the company. Prior to that, he was President and Chief Executive Officer of Bliss-Salem, Inc.
Mr. Zugay holds a Bachelors Degree in Business Management from the Indiana University of
Pennsylvania, and is a Certified Public Accountant.

release is attached as Exhibit 99.1 to this Current Report on Form 8-K/A and is incorporated into
this Item 5.02 by reference.
