1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On
January 5, 2007, NN Europe ApS, a
wholly-owned subsidiary of NN, Inc., a Delaware corporation, and Schaeffler
KG,
located in the Federal Republic of Germany, entered into a Master Agreement
and
an Amendment to the Master Agreement, the purpose of which is to govern NN
Europe ApS's long-term obligation to supply Schaeffler KG specified
products.
