Item 1.01 Entry into a Material Definitive Agreement.
On November 5, 2004, Trammell Crow Company (the Company) entered into an indemnification agreement with Arlin Gaffner, the Companys chief accounting officer. The indemnification agreement is the same form of agreement as the Company has previously entered into with its directors and executive officers and which was filed as exhibit 10.2 to the Companys Quarterly Report on Form 10-Q for the quarter ended September 30, 2004, filed with the Securities and Exchange Commission on November 9, 2004. Pursuant to the indemnification agreement, the Company will, to the extent permitted by applicable law, indemnify Mr. Gaffner against all expenses, judgments, fines, penalties and similar amounts incurred in connection with the defense or settlement of any actions brought against Mr. Gaffner by reason of the fact that he was an officer of the Company or assumed certain responsibilities at the direction of the Company.
