Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
(b) Effective August 22, 2005, Gary S. Gladstein resigned as a member of the Board of Directors of Imergent, Inc. (the “Company”). The Company announced Mr. Gladstein’s resignation in a press release dated August 24, 2005, and a copy of this press release is filed herewith as Exhibit 99.1. Mr. Gladstein was a Class II director whose current term would have otherwise expired at our annual meeting later this year. At the time of his resignation Mr. Gladstein was Chairman of the Company’s Audit Committee and a member of the Compensation and Nominating Committees of the Company’s Board of Directors. The Board expects to appoint a replacement in the near term.
