This Amendment No. 3 (this Amendment) amends and supplements the statement on Schedule 13D, dated April 6, 2004 and filed on April 8, 2004 (the Original Schedule 13D), that Amendment No. 1 dated May 9, 2006 and filed on May 22, 2006 (that Amendment No. 1), and that Amendment No. 3 dated October 10, 2006 and filed October 23, 2006, all relating to the common stock, par value $.001 per share (the Common Stock) of Perficient, Inc., a Delaware corporation (the Issuer) held by Morton H. Meyerson. Mr. Meyerson is filing this Amendment to update the information with respect to his beneficial ownership of the Common Stock of the Issuer.

Purpose of Transaction |
Except as set forth above, Mr. Meyerson does not have any plans or proposals that relate to or would result in (a) the acquisition by any person of additional securities of the Issuer or the disposition of securities of the Issuer; (b) an extraordinary corporate transaction, such as a merger, reorganization or liquidation, involving the Issuer or any of its subsidiaries; (c) a sale or transfer of a material amount of assets of the Issuer or any of its subsidiaries; (d) any change in the present board of directors or management of the Issuer, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the board; (e) any material change in the present capitalization or dividend policy of the Issuer; (f) any other material change in the Issuers business or corporate structure; (g) changes in the Issuers charter, bylaws or instruments corresponding thereto or other actions which may impede the acquisition of control of the Issuer by any person; (h) causing a class of securities of the Issuer to be delisted from a national securities exchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association; (i) a class of equity securities of the Issuer becoming eligible for termination of registration pursuant to Section 12(g)(4) of the Securities Exchange Act of 1934; or (j) any action similar to any of those enumerated above. Notwithstanding the foregoing, Mr. Meyerson may formulate plans or proposals with respect to one or more of the foregoing in the future. |

Interest in Securities of the Issuer |
On October 24, 2006, Mr. Meyerson donated 175,703 shares of Common Stock at to the Morton Meyerson Family Foundation (the Support Foundation) a support foundation through the Dallas Jewish Foundation. The Support Foundation is governed by five officers, of which Mr. Meyerson is only one. Accordingly, after the October donation, Mr. Meyerson beneficially owned, for purposes of Rule 13d-3 under the Securities and Exchange Act of 1934, 1,332,310 shares of Common Stock of the Issuer, constituting 4.96% of the issued and outstanding shares of Common Stock. As such, this is Mr. Meyersons final amendment to Schedule 13D. |
