(1) For the six months ended June 30, 2016 and the year ended December 31, 2015, the Issuers pro forma ratios of earnings to fixed charges reflect the pro forma effects on earnings and fixed charges from this offering and the repayment of the Issuers outstanding $115 million of 5.875% senior notes due November 2016.
(2) For the purpose of computing these ratios, earnings represent net income (loss) from continuing operations before taxes plus fixed charges, and fixed charges consist of interest on outstanding debt plus one-third (the proportion deemed representative of the interest factor) of rental expense. The term preferred stock dividends is the amount of pre-tax earnings that is required to pay dividends on the Issuers outstanding preferred stock. First Midwest repurchased all of its outstanding preferred stock in 2011 and does not currently have any preferred stock outstanding. For details on the calculations, including dollar amounts of deficiencies for relevant periods, see Exhibit 12.1 to the Current Report on Form 8-K filed by the Issuer on September 22, 2016.
The ratio of earnings to fixed charges does not reflect annual lease payment obligations of approximately $11 million, subject to annual rent escalations, that the Issuer expects to incur pursuant to its previously announced sale-leaseback transaction.
