On May 24, 2005, Orion HealthCorp, Inc. (the "Company") issued a
press release announcing the signing of a letter of intent to sell
its subsidiary, IntegriMED, Inc., to the principals of
eClinicalWorks, LLC. The press release is attached as Exhibit 99.1 to
this current report.
