AMARC ARRANGES UP TO $5.0 MILLION FINANCING

December 22, 2006. Vancouver, BC - Amarc Resources Ltd. ("Amarc" or the "Company") (TSX Venture: AHR; OTCBB: AXREF) announces that the Company has arranged a private placement of up to 10,000,000 equity units (the "Units") at a price of $0.50 per Unit. Up to 40% of the Units will be Flow-Though Units comprising a flow-through common share and a non-flow-through warrant. The remaining Units will comprise a common share and a warrant. Each warrant ("Warrant") is exercisable to purchase an additional common share at a price of $0.55 for a 24 month period. The Warrants are subject to an accelerated expiry if, anytime following the expiration of the four-month hold period the published closing trade price of the Company's common shares on the TSX Venture Exchange is greater than or equal to $0.75 for any 10 consecutive trading days, in which event the Holder will be given notice that the Warrants of the Issuer will expire 45 days following the date of such notice. The Warrants may be exercised by the Holder during the 45 day period between the notice and the expiration of the Warrants.
 
Insiders of the Company will subscribe for $1.6 million Flow-Through Units. Proceeds from the offering will be used for Canadian exploration expenses, general corporate and working capital purposes. The financing is subject to TSX Venture acceptance.
