Item 5. Other Events.

 

On May 10, 2004, AmerisourceBergen Corporation (the “Registrant”) issued a news release announcing its acquisition of Imedex^®, Inc., a privately held, accredited provider of physician continuing medical education. The purchase price was $15.9 million, which was paid in cash and which is subject to adjustment based on the net worth of Imedex as of the date of closing. A copy of the news release is filed as Exhibit 99.1 to this report and incorporated herein by reference.
