The following sets forth a summary of the compensation for fiscal year 2011 approved on January 20, 2011 by the Compensation Committee of DURECT Corporation (the Company) for the Companys Chief Executive Officer, the Chief Financial Officer, and the other named executive officers of the Company for whom compensation disclosure was required in the Companys most recent proxy statement filed with the Securities and Exchange Commission.

Notes:
(1) | The option was granted by the Compensation Committee on January 20, 2011. The exercise price per share of such option grant is $3.26, the closing price of the Companys common stock on the NASDAQ Global Market on the date of grant. The vesting associated with the option is as follows: one-fourth (1/4) of the total shares subject to such option shall vest on the one-year anniversary of the date of grant, and one-sixteenth (1/16) of the total shares subject to the option shall vest quarterly over three (3) years following the one-year anniversary. |
(2) | The actual bonus to be awarded will be at the Committees complete discretion based on the Companys performance against specified corporate objectives and other factors to be taken into account at the discretion of the Committee. |
