On December 8, 2011, the Nominating, Governance and Compensation Committee of the Board of Directors of Dril-Quip, Inc. (the “Company”) approved a form of restricted stock award agreement under the 2004 Incentive Plan of the Company, as amended, to be used for grants of restricted stock to eligible employees. Such agreement is filed as an exhibit hereto and is incorporated by reference herein.
