Item 1.01

Entry Into a Material Definitive Agreement

On March 23, 2015, Catalyst Pharmaceutical Partners, Inc. (the “Company”) and CPT 355 Alhambra Circle, LLC signed that certain Third Amendment to Lease Agreement. The Amendment is effective March 16, 2015. Pursuant to the Amendment, the Company will lease an additional approximate 2,600 square feet of office space necessary for the Company’s expanding operations. The Company will pay total annual lease payments of approximately $199,000 on its new space, an increase of approximately $103,000 per year from its current annual lease payments.

The amendment is attached to this Current Report on Form 8-K as Exhibit 10.1 and is incorporated herein by reference.
