EXPLANATORY NOTE

This Amendment No. 2 to Form 8-K is being filed to update the description of Dominion Resources, Inc.’s common stock which was filed with Amendment No. 1 to Form 8-K on June 25, 2013. The description of our common stock has been revised to reflect changes in our bylaws to reduce the ownership threshold applicable to shareholders seeking to call a special meeting, to reflect changes in our bylaws to permit shareholders satisfying certain criteria to nominate and include in our annual meeting proxy materials a specified number of director candidates and to provide other miscellaneous updates.
