Item 5.02. | Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers |
On May 17, 2018, Alphatec Holdings, Inc. (the Company) held its Annual Meeting of Stockholders (the Annual Meeting). Mr. R. Ian Molson was not nominated for re-election at the Annual Meeting and, therefore, Mr. Molsons term as a member of the Companys Board of Directors (Board) expired following the Annual Meeting. In connection with his departure from the Companys Board, Mr. Molson and the Company entered into a Vesting Acceleration Agreement (the Vesting Agreement). Pursuant to the Vesting Agreement, as of May 17, 2018, all outstanding options to purchase the Companys common stock and any restricted common stock held by Mr. Molson as of May 17, 2018, became vested and exercisable. In addition, the term during which Mr. Molson may exercise any stock option was extended until the earlier of: (i) May 17, 2020 (or the following business day if such day is not a business day of the Company), or (ii) the expiration date that would apply to such stock option. The foregoing summary of the Vesting Agreement is qualified in its entirety by reference to the full text of the Vesting Agreement, which is filed as Exhibit 10.1 to this Current Report on Form 8-K.
As described in Item 5.07 below, at the Companys Annual Meeting, the stockholders of the Company approved an amendment of the Companys 2016 Equity Incentive Award Plan (the Amended Plan). The Amended Plan (1) modifies the Companys original 2016 Equity Incentive Award Plan to increase the shares available for grant under the Amended Plan by 3,000,000, and (2) corrects a typographical error contained in the original 2016 Equity Incentive Award Plan. On May 17, 2018, the Company held its Annual Meeting. The Companys filed its definitive proxy statement on Schedule 14A with the U.S. Securities and Exchange Commission (the SEC) on April 25, 2018. The proxy statement describes in detail each of the five proposed voting matters (the Proposals) submitted to the Companys stockholders at the Annual Meeting. As of March 23, 2018, the record date of the Annual Meeting, there were 25,548,990 outstanding shares of the Companys common stock. At the Annual Meeting, a quorum of 16,591,559 shares of the Companys common stock were represented in person or by proxy. The final results for the votes cast with respect to each Proposal are set forth below.

The stockholders elected each of Evan Bakst, Mortimer Berkowitz III, Quentin Blackford, Jason Hochberg, Patrick S. Miles, David H. Mowry, Terry M. Rich, Jeffrey P. Rydin, James L.L. Tullis, Donald A. Williams and Ward W. Woods to serve on the Companys Board for a term of one year until the 2019 Annual Meeting of Stockholders and until their respective successors have been duly elected and qualified, or until their earlier death or resignation, by the following vote:
