Health & Leisure, Inc. (the "Company") is not able to file its
Quarterly Report on Form 10-QSB for the quarter ended June 30, 2003 on or prior
to August 14, 2003 without unreasonable effort or expense because of certain
administrative delays with respect to a change of the company's accountants,
thus delaying the filing.
