Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(e) Executive Compensation Matters:
On December 9, 2010, the Human Resources Committee of the Board of Directors of Trinity Industries, Inc. approved the 2011 base salaries of the named executive officers, as set forth below. The new salaries are effective January 1, 2011.
• William A. McWhirter II, Senior Vice President and Group President – $450,000;
• D. Stephen Menzies, Senior Vice President and Group President – $540,000;
• James E. Perry, Vice President and Chief Financial Officer – $350,000; and
• S. Theis Rice, Vice President and Chief Legal Officer – $400,000.
At his request, the Board of Directors did not change the 2011 base salary of Mr. Timothy R. Wallace, Chairman, President and Chief Executive Officer of the Company.
