On June 28, 2016, First Midwest Bancorp, Inc. (“First Midwest”) issued a press release announcing the execution of an agreement and plan of merger in connection with its proposed acquisition of Standard Bancshares, Inc. (“Standard”) and Standard’s wholly owned subsidiary, Standard Bank & Trust Company, based in Hickory Hills, Illinois. First Midwest also provided supplemental information regarding the proposed transaction in connection with a presentation to investors. A copy of the press release is attached to this report as Exhibit 99.1 and a copy of the presentation materials is attached as Exhibit 99.2, both of which are incorporated herein by reference.
