Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As of June 14, 2010, James Taylor, SL Industries, Inc.’s (the “Company”) former Chief Executive Officer and President, and David Nuzzo, the Company’s former Vice President and Chief Financial Officer, were no longer employed by the Company. Glen Kassan, the Company’s Chairman of the Board has been appointed Interim Chief Executive Officer, President and Chief Financial Officer.
