     (d) As previously reported on a Form 8-K dated August 21, 2007, Cheryl W. Grisé was elected to the Board of Directors of Pall Corporation, effective as of such date. Pursuant to Instruction 2 of Item 5.02, this amendment to such Form 8-K is being filed to report that, effective January 17, 2008, Ms. Grisé was appointed to the Compensation Committee of the Board of Directors.
