(b) Departure of Directors or Certain Officers

On June 29, 2011, T. Kelley Millet provided MarketAxess Holdings Inc. (the “Company”) with notice of his resignation as President of the Company, and as a director of the Company. The effective date of Mr. Millet’s resignation from these positions is July 8, 2011. Mr. Millet’s resignation does not involve any disagreement with the Company.
