ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

     On September 1, 2005, Robert E. Pickering, Jr. notified the Board of Directors of Perficient, Inc. (the “Company”) of his decision not to stand for reelection to the Board. In accordance with the Company’s bylaws, Mr. Pickering’s term as a director will expire at the Company’s 2005 Annual Meeting of Stockholders.
